Membership Agreement

Effective Date: March 2026

 

This Membership Agreement (“Agreement”) is made between Van Safe Parking Ltd (Company No. 16102134), a company registered in England and Wales with its registered office at Cn House, Brooks Drive, Cheadle Royal Business Park, Cheadle, Cheshire, SK8 3TD (“we”, “us”, or “our”), and the individual or business (“Member”, “you”, or “your”) enrolling in our membership programme.

By joining the membership, you agree to the terms and conditions below.

1. About the Membership

Our membership scheme is designed for trade professionals and individuals who travel with tools or equipment. As a Member, you will receive:

  • Access to secured parking areas with professional security provision (static or roaming, depending on site)
  • Discounts on materials, accommodation, and other trade services through our partner network
  • Access to exclusive member-only offers and benefits

2. Security and Parking Services

We provide access to secured parking locations supported by professional security teams, which may include monitored CCTV systems and/or K9 dog units. These security services are subcontracted to third-party providers who are professionally trained, vetted, and insured.

While we implement enhanced security measures, we cannot guarantee that incidents will not occur. Criminal activity can still target vehicles or property despite visible deterrents. You acknowledge and agree that:

  • No security service can offer a 100% guarantee against theft, break-ins, or vandalism.
  • Van Safe Parking Ltd excludes all liability for any loss, theft, or damage to vehicles, equipment, or contents while using our parking services.
  • In the event of a loss directly attributable to the proven fault or negligence of the on-site subcontractor, a maximum sum of £2,500 per incident will be payable under the subcontractor's insurance policy. This does not constitute a guarantee or admission of liability by Van Safe Parking Ltd.
  • You are solely responsible for arranging your own comprehensive insurance for vehicles, tools, equipment, and goods left in or around the vehicle.

3. Discounts and Third-Party Services

Your membership gives you access to exclusive deals and discounts with selected partners, which may include hotel chains, trade suppliers, and other service providers.

These offers are provided by independent third parties. We are not responsible for their services, pricing, availability, or conduct. All third-party deals, discounts, offers and services are subject to the terms and conditions of those providers. Partner offers may change from time to time; we will endeavour to maintain and expand available benefits but cannot guarantee the continued availability of any specific offer.

4. Membership Fees and Term

Fees and Benefits at Sign-Up

The applicable membership fee, duration, and list of included benefits will be clearly displayed at the time of registration or renewal. By completing your sign-up and submitting payment, you agree to the fee structure and entitlements available to you at that time.

Membership plans may vary depending on your location, trade category, or partnership tier (e.g. individual, business, or corporate packages). Some benefits may depend on third-party availability or change over time; we will always do our best to inform you of any material changes.

Term and Renewal

Unless stated otherwise, memberships are offered on a rolling monthly basis. Memberships may renew automatically unless cancelled in accordance with this Agreement. We reserve the right to update fees, terms, or benefits upon renewal. You will be given reasonable notice of any material changes before they take effect, and you may cancel prior to renewal if you do not wish to accept the updated terms.

5. Cancellation

  • You may cancel your membership at any time by providing written notice (email is acceptable). Your access and benefits will continue until the end of your current paid term.
  • We may cancel your membership at any time for any reason by giving you 14 days' written notice. If cancellation is not due to a breach of this Agreement, we may, at our discretion, offer a pro-rated refund for the unused portion of your membership.
  • We reserve the right to suspend or terminate your membership immediately and without refund if you breach the terms of this Agreement (e.g. non-payment, misconduct, or abuse of services).

6. Refunds and Cooling-Off Period

Refunds will not be issued for early termination, missed use, or change of circumstances unless required under applicable law.

If you are a consumer (not a business) and sign up online, you may have a statutory 14-day cooling-off period under the Consumer Contracts Regulations 2013, during which you may cancel and receive a full refund, provided you have not already accessed or used any of the services.

7. Payment Terms and Default

  • All membership fees must be paid in advance via approved payment methods.
  • If your payment fails or is not received on time, we reserve the right to suspend access to all membership services until payment is made. Continued non-payment may result in termination of your membership.
  • We may refer unpaid fees to a collections agency or take legal action where necessary to recover outstanding amounts.

8. Changes to Fees or Plans

We may review and update our membership pricing or benefits from time to time. Any such changes will only apply at the end of your current term or upon renewal. You will be notified in advance and may cancel if you do not wish to continue under the new terms.

9. Member Responsibilities

As a Member, you agree to use the services provided under this Agreement responsibly and in accordance with all applicable terms, policies, and legal obligations. Failure to comply may result in suspension or termination of your membership without refund, and possible referral to the appropriate authorities in cases of illegal activity.

Site Conduct and Use

You agree to:

  • Follow all site-specific rules and regulations, including instructions provided by our staff or subcontracted security teams at parking locations.
  • Maintain cleanliness and order in the parking areas and not leave litter, debris, hazardous materials, or any other waste.
  • Secure your vehicle and belongings properly before leaving the site, including locking doors, concealing tools or valuables from view, and taking all reasonable precautions to reduce theft risk.
  • Comply with all health and safety policies, especially in areas with high foot traffic or shared access points.

Prohibited Activities and Materials

You must not:

  • Store or transport illegal, flammable, toxic, or hazardous substances in or around vehicles using our parking areas (other than normal trade supplies secured within a vehicle).
  • Use our services for any purpose connected to illegal activity, surveillance, trafficking, or fraud.
  • Interfere with the operation of our security systems, CCTV equipment, staff duties, or site infrastructure.

Use of Membership Benefits

You agree to:

  • Use your membership only for yourself or your registered business, unless we have agreed otherwise in writing. Memberships are non-transferable without our prior written approval.
  • Not abuse or exploit discounts or partner offers (e.g. reselling discount codes or using them in breach of third-party terms).
  • Notify us promptly of any changes to your contact details, business name, or vehicle registration numbers associated with your account.

Respect and Professional Conduct

You are expected to treat all staff, subcontractors, partner organisations, and other members with respect and courtesy at all times. We have a zero-tolerance policy for verbal or physical abuse towards our team or partners. You must co-operate fully with us or security personnel in the event of a security breach, incident investigation, or insurance claim.

10. Breach of Responsibilities

We reserve the right to:

  • Suspend or terminate your membership without refund if you breach any of the above responsibilities.
  • Report illegal activity to the police or relevant authorities, and support any subsequent investigation with CCTV footage or access records.
  • Recover costs for any damage caused by your conduct or that of your employees or authorised representatives while using our services.

11. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any direct, indirect, incidental, or consequential loss, theft, or damage to any vehicle, equipment, tools, goods, or personal items.
  • Our total liability, if any, under this Agreement is strictly limited to the total amount paid by you under your membership in the previous 12 months.
  • Nothing in this Agreement limits our liability for death or personal injury caused by our negligence, fraud, or any liability which cannot be excluded under UK law.

You agree that you are responsible for insuring your own property and that our role is to provide access to secure sites — not to guarantee safety of your property.

12. Data Protection (GDPR)

We are committed to protecting your personal data in line with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

  • We collect only the information necessary to provide our services and manage your membership (e.g. name, contact information, vehicle registration).
  • Your data is stored securely and will not be shared with third parties, except where required to deliver services (e.g. partner discount fulfilment) or where legally required (e.g. for police or insurance purposes).
  • You have the right to access, correct, or delete your personal data at any time.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

Entire Agreement

This Agreement represents the entire understanding between the parties and overrides any prior discussions, communications, or representations.

Waiver

If we do not enforce any part of this Agreement, it shall not be considered a waiver of our rights or remedies.

Severability

If any part of this Agreement is found to be invalid or unenforceable, the remainder shall continue in full force and effect.
